While federation can provide more wealth or security than self-sufficiency, states can in principle get those benefits more easily by cooperating through international organizations such as alliances or customs unions.Chad Rector develops a new theory that states federate when their leaders expect benefits from closer military or economic cooperation but also expect that cooperation via an international organization would put some of the states in a vulnerable position, open to extortion from their erstwhile partners. The potentially vulnerable states hold out, refusing to join alliances or customs unions, and only agreeing to military and economic cooperation under a federal constitution.Rector examines several historical cases: the making of a federal Australia and the eventual exclusion of New Zealand from the union, the decisions made within Buenos Aires and Prussia to build Argentina and Germany largely through federal contracts rather than conquests, and the failures of postindependence unions in East Africa and the Caribbean. 606 $aConfederation of states 606 $aFederal government 606 $aInternational cooperation 606 $aInternational relations 608 $aElectronic books. 615 0$aConfederation of states. 615 0$aFederal government. 615 0$aInternational cooperation. 615 0$aInternational relations. 676 $a320.4/049 700 $aRector$b Chad$01043405 801 0$bMiAaPQ 801 1$bMiAaPQ 801 2$bMiAaPQ 906 $aBOOK 912 $a9910460213503321 996 $aFederations$92468355 997 $aUNINA LEADER 05139nam 2200649Ia 450 001 9910666954903321 005 20200520144314.0 010 $a1-118-23667-X 010 $a1-283-40206-8 010 $a9786613402066 010 $a1-118-22279-2 035 $a(CKB)2670000000138080 035 $a(EBL)818002 035 $a(OCoLC)769342376 035 $a(SSID)ssj0000575910 035 $a(PQKBManifestationID)11399442 035 $a(PQKBTitleCode)TC0000575910 035 $a(PQKBWorkID)10553377 035 $a(PQKB)11367787 035 $a(MiAaPQ)EBC818002 035 $a(Au-PeEL)EBL818002 035 $a(CaPaEBR)ebr10523261 035 $a(CaONFJC)MIL340206 035 $a(EXLCZ)992670000000138080 100 $a20110921d2012 uy 0 101 0 $aeng 135 $aur|n|---||||| 181 $ctxt 182 $cc 183 $acr 200 10$aGood counsel$b[electronic resource] $emeeting the legal needs of nonprofits /$fLesley Rosenthal 210 $aHoboken, NJ $cWiley$d2012 215 $a1 online resource (352 p.) 300 $aIncludes index. 311 $a1-118-08404-7 327 $aGood Counsel: Meeting the Legal Needs of Nonprofits; Contents; Preface; Acknowledgments; Introduction; Who Should Use This Book; Features of the Book; How This Book Is Set Up; Preliminary Observations; Illustrative Cases; Part I: An Overview of Nonprofits' Legal Needs; Chapter 1: What Good Counsel Can Do for Nonprofits; What Legal Needs Do Nonprofits Have in Common?; Beyond Laws about Nonprofits: Complying with Business Laws, Too; First Stop for Legal Advice: CYA (Consult Your Attorney); In Sum/Coming Up Next 327 $aChapter 2: Nonprofit Legal Basics: Corporate Law and the Requirements of the Tax ExemptionThe Benefits of Incorporating; Getting Organized as a Nonprofit Corporation; Following Good Corporate Law Practices; Obtaining Recognition of Tax-Exempt Status; Maintaining Tax-Exempt Status; Meeting Additional IRS Expectations; Chapter 3: Good Counsel about Corporate Governance; What Does the Board Do?; Advocacy and Independent Judgment: Counsel in Relation to the Chief Executive; When Governance Fails: Learning by Negative Example; Part II: A Grand Tour of Nonprofits' Business Law Needs 327 $aChapter 4: Contracts and Intellectual Property: Laws that Matter to Program StaffUnderstanding the Organization's Program; Contracts: At the Heart of the Program's Legal Arrangements; What Is Intellectual Property (and What Does It Have to Do with Nonprofits?); Copyright Law for Nonprofits: An Introduction; Chapter 5: Counseling the Rainmakers: Legal Aspects of Raising Money; A Lawyer's Introduction to Fundraising; Laws That Matter to Fundraisers; Other Places Where Legal Meets Fundraising; Better Fundraising Through Good Governance and Compliance 327 $aChapter 6: Laws That Matter to the Finance Department (or Not-for-Profit, but Not-for-Loss Either)Understand the Big Financial Picture; A Year in the Life; Other Places Where Legal and Finance Meet; Chapter 7: Getting Personnel: Human Resources Law for Nonprofits; Human Dynamics, Nonprofits, and the Law; Key Legal Elements of Employment Relationships; Other Laws that Matter to Nonprofit Human Resources Professionals; Chapter 8: Getting the Word Out, Legally: Counseling the Nonprofit Communications Team; Introduction to the Legal Aspects of Nonprofit Communications 327 $aWhat Nonprofit Marketing Directors Should Know about Trademark LawClearing Rights to Use the Protected Works of Others; Consumer Regulatory Laws; Getting the Word Out, Digitally; Other Places Where Legal Meets Communications; Chapter 9: Legal Meets Operations, Facilities Management, and Security; Laws That Matter to Operations; About Leases; Risk Management and the Chief Operating Officer; Chapter 10: Political Activities and Governmental Lobbying; Thou Shalt Not Politick; Lobbying: Advocacy with Limits; Recordkeeping, Registration, and Financial Disclosure; What Isn't Lobbying? 327 $aPart III: For Good Counsel Only 330 $aA concise overview of the legal needs of nonprofit organizations Good Counsel is a compact and personable overview of the legal needs of nonprofits, crafted by one of America's most astute nonprofit general counsels.
