This terminology collection presents approximately 200 concepts that can be considered the basic vocabulary for the practical teaching of translation. Four languages are included: French, English, Spanish and German. Der Zusammenschluss von Daimler-Benz und Chrysler war der erste grenzüberschreitende Merger of Equals, an dem eine börsennotierte deutsche Aktiengesellschaft beteiligt war. In wirtschaftlicher Hinsicht sollte sich diese Fusion nicht zu einer Erfolgsgeschichte entwickeln. Die für sie entwickelte rechtliche Struktur – die Fusion durch NewCo-Übernahme – ist dagegen bis heute die lex artis für Transaktionen dieser Art. Dieses Modell warf wiederholt – zuletzt bei dem Zusammenschluss von Linde und Praxair – die Frage auf, ob für eine solche Fusion eine ungeschriebene Hauptversammlungskompetenz nach den Holzmüller-Grundsätzen des BGH besteht. Die vorliegende Arbeit geht dieser Frage auf den Grund. |
