L’exercice d’une activité professionnelle requiert le choix d’une structure d’exercice. Pendant longtemps, le choix des entrepreneurs se résumait à une simple option entre l’entreprise individuelle et la société pluripersonnelle. Si l’entrepreneur voulait exercer seul son activité, il devait se résoudre, soit à engager tout son patrimoine en agissant en son nom et pour son compte, soit à trouver un associé de « paille » dans le cadre d’une société à risque limité... Ce temps est désormais révolu ; le législateur a commencé par martyriser le droit des sociétés, en acceptant l’idée, a priori saugrenue, de l’associé unique (loi du 11 juillet 1985 instituant la SARL avec un seul associé, ou « EURL »), avant de consacrer l’idée, jadis hérétique, du patrimoine d’affectation en mettant fin au principe de l’unicité du patrimoine (loi du 15 juin 2010 instituant le statut d’entrepreneur individuel à responsabilité limitée, ou « EIRL »). L’évolution est en cours. L’EURL n’est plus la seule société unipersonnelle (loi du 12 juillet 1999 créant la SAS unipersonnelle), et le législateur n’a eu de cesse que de desserrer les contraintes pesant sur les entreprises individuelles, jusqu’à prévoir un statut fiscal et social ultra-simplifié pour les micro-entreprises (loi du 4 août 2008 instituant le statut de « l’auto-entrepreneur »), ou plus récemment en simplifiant encore le régime de l’EIRL (loi du 22 mai 2019 pour la croissance et la transformation des entreprises). Ces évolutions ont parfois été critiquées, souvent encouragées, mais elles n’ont jamais laissé personne indifférent. Comment en effet, un juriste pourrait-il rester muet devant l’amoncellement des questions, parfois fondamentales, générées par la dualité de patrimoine d’une même personne par la nécessaire adaptation du droit des sociétés lorsque celles-ci sont créées par un seul associé ? |
On April 29, 2009 the National Research Council held a 1-day symposium titled, 'Avoiding Technology Surprise for Tomorrow's Warfighter.' This volume, a report of the symposium, highlights key challenges confronting the scientific and technical intelligence (S & TI) community and explores potential solutions that might enable the S & TI community to overcome those challenges. The symposium captured comments and observations from representatives from combatant commands and supporting governmental organizations, together with those of symposium participants, in order to elucidate concepts and trends, knowledge of which could be used to improve the Department of Defense's technology warning capability. Topics addressed included issues stemming from globalization of science and technology, challenges to U.S. warfighters that could result from technology surprise, examples of past technological surprise, and the strengths and weaknesses of current S & TI analysis. |
