Compliance hat sich in den vergangenen zehn bis 15 Jahren zu einem der prägenden Themen des Gesellschaftsrechts entwickelt und umfasst verschiedene Bereiche des Unternehmensrechts sowie Fragen der Unternehmensorganisation. Trotz der großen Bedeutung rechtskonformen Verhaltens von Unternehmen fehlt es, abgesehen von einigen aufsichtsrechtlichen Normen, weitgehend an gesetzlichen Vorgaben. Vor diesem Hintergrund und ausgehend von der These, dass aufsichtsrechtliche Vorgaben für nichtregulierte Aktiengesellschaften keine Bindungen entfalten, hat es sich der Autor zur Aufgabe gemacht, die aktienrechtlichen Compliance-Pflichten von Vorstand und Aufsichtsrat zu analysieren und des Weiteren zu erörtern, inwieweit die beiden Organe ihre Compliance-Verantwortungen kooperativ wahrnehmen dürfen bzw. unter Effektivitätsgesichtspunkten sogar müssen. Im Fokus der Untersuchung standen dabei insbesondere die reaktiven Aufklärungspflichten der Organe. |
